Terms & Conditions

Welcome to ReadBase. Please read these Terms & Conditions ("Terms," "Agreement") carefully before using our Hebrew Kriah fluency assessment web platform and services hosted at readbase.org (the "Service," "Platform"). By registering a school room, creating an educator profile, or accessing the Platform, you ("the Customer," "the School," "the User") agree to be bound by these Terms. If you do not agree to all of these Terms, you are strictly prohibited from using the Service.

Intellectual Property & Proprietary Rights

Ownership of Platform. The Service — including but not limited to its source code, database architecture, user interface design, visual layout, graphics, logos, proprietary Hebrew parsing logic, syllable counting parameters, and automated reporting systems — is the exclusive intellectual property of ReadBase, protected by United States and international copyright, trademark, and intellectual property laws.

Limited License. ReadBase grants the School a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform strictly for internal educational and assessment purposes during an active, paid subscription term.

Restrictions on Use. The School and its individual users (Rebbis, teachers, specialists, administrators) shall not, and shall not permit any third party to:

  • Modify, copy, distribute, or create derivative works based on the Platform.
  • Reverse-engineer, decompile, disassemble, or attempt to extract the underlying source code or algorithms of the Platform.
  • Replicate, copy, or adapt the original concepts, workflows, or specialized structural tracking interface of ReadBase to build a competing product or service.
  • Resell, lease, or commercially exploit the Service to unauthorized entities.

Account Security & Room Responsibility

School Isolation Rooms. ReadBase provisions isolated, multi-tenant digital environments ("Rooms") unique to each registering institution.

Credential Security. Access to individual school profiles is managed via a combination of user selection and numeric access PINs. The School is entirely responsible for maintaining the strict confidentiality of all administrative, staff, and teacher PINs.

Unauthorized Access. The School agrees to accept full responsibility for all activities, data entries, and system modifications that occur under its registered Room. You must notify ReadBase immediately at support@readbase.org if you discover or suspect any unauthorized use of your school's account or PIN codes.

Student Data & Educational Compliance

Data Collection Limits. As outlined in our Privacy Policy, ReadBase does not collect data directly from children. Students do not create accounts or log in. All student rosters and academic evaluation metrics are submitted exclusively by authorized school personnel.

School Warranty. The School warrants that it possesses all necessary legal rights and parental consents required under applicable local, state, and federal laws — including FERPA and COPPA — to input student names and performance information into the Platform.

Audio Recording Consent. If the School's administration explicitly activates the optional in-app audio recording feature, the School assumes full responsibility for securing any necessary institutional or parental authorization required to record assessment sessions.

Subscription Fees, Billing, & Renewals

Subscription Terms. Access to ReadBase is provided on a subscription basis, billed per school year.

Payment Terms. All fees are due in full upon receipt of an official invoice, unless a custom multi-payment schedule is formally authorized in writing by ReadBase.

Suspension for Non-Payment. ReadBase reserves the right to temporarily suspend account access and data entry capabilities for any School whose account becomes more than thirty (30) days past due.

Termination & Data Deletion

Termination. Either party may terminate this Agreement at the conclusion of a billing cycle by providing thirty (30) days written notice.

Data Purge Policy. Upon termination or expiration of an active subscription, ReadBase will preserve historical student assessment records for a grace period of thirty (30) days. Following this window — or upon immediate written request from an authorized school official — ReadBase will securely and permanently purge all school roster and student evaluation data from its live production databases.

Disclaimer of Warranties

Provided "As-Is." The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, ReadBase disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

System Interruptions. ReadBase does not warrant that the Service will function completely uninterrupted or error-free, or that data transmission will never experience latency. The School acknowledges that local network environments, school hardware performance, and external internet connectivity disruptions can affect real-time application features.

Limitation of Liability

Cap on Liability. To the fullest extent permitted by applicable law, in no event shall ReadBase, its founder, or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of data, loss of institutional funding, or operational downtime — arising out of or connected to your use or inability to use the Platform.

Maximum Liability. In all circumstances, the maximum cumulative liability of ReadBase for any legal claim arising out of this Agreement shall not exceed the total subscription fees paid by the School to ReadBase during the twelve (12) months immediately preceding the event triggering the claim.

Governing Law

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising under or in connection with these Terms shall be brought exclusively in the courts located in Rockland County, New York.

Modifications to the Terms

ReadBase reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a modification is material, we will provide at least thirty (30) days notice to registered administrators via the email on file prior to any new terms taking effect. Your continued use of the Platform after the conclusion of the notice period constitutes complete acceptance of the updated terms.
